1. Acceptance of Terms & Overview
These Terms of Service ('Terms') govern your access to and use of Rixoffice software, including the Rixoffice desktop applications for Windows, macOS, and Linux, the web workspace, and associated cloud APIs provided by Rixcart ('we', 'us', 'our'). By downloading, installing, registering, or using Rixoffice, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.
2. User Accounts & Security
To access cloud synchronization, AI credit allocations, and subscription licensing, you must create a verified account using Google OAuth. You are responsible for maintaining the confidentiality of your credentials and all activities occurring under your account. You agree to notify us immediately at security@rixcart.com of any unauthorized account access.
3. Plans, Subscriptions & Billing
Rixoffice offers tiered monthly and annual subscriptions (including Standard, Pro, and Premium): • Scope: Active plans unlock advanced AI document capabilities, high-capacity page generation, and desktop application multi-device sync. • Recurring Billing: Subscriptions renew automatically at the start of each billing period unless cancelled prior to renewal via your Account Dashboard. • Currency & Taxes: Subscription fees are processed in your localized currency (USD, EUR, GBP, INR, AUD, CAD, SGD, AED, CHF, DKK, SEK) and may include applicable VAT, GST, or regional sales taxes. • Cancellation: You may cancel anytime without cancellation fees. Access continues through the conclusion of your active billing period.
4. Rix AI Credits & Compute Usage
Each subscription tier includes a designated monthly credit allowance: • Credit Consumption: Standard generative actions (document drafting, rewriting, summaries, and formula generation) consume 1 credit per execution. • Expiration: AI credits reset authoritatively at the commencement of each monthly billing cycle and do not accumulate or roll over. • Fair Use: Excessive programmatic or automated consumption that threatens service availability may be throttled pursuant to our Acceptable Use Policy.
5. Bring-Your-Own-Key (BYOK) & Local AI
Rixoffice supports Bring-Your-Own-Key functionality for third-party LLM providers (including OpenAI, Anthropic, Google Gemini, and DeepSeek) as well as offline local models via Ollama: • Third-Party Billing: Calls made with your personal API keys are billed directly by your third-party provider. Rixoffice does not intermediate or surcharge BYOK requests. • Local Privacy: Local models execute entirely on your machine; no prompt or completion payloads are transmitted to Rixoffice servers.
6. Intellectual Property & Document Ownership
You retain 100% full, exclusive intellectual property ownership of all documents, spreadsheets, presentations, and files created or edited within Rixoffice. We claim zero ownership or rights over your files. Rixoffice proprietary code, UI assets, logos, and trademarks remain the exclusive property of Rixcart.
7. Desktop Software License & Updates
Subject to compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and execute Rixoffice desktop binaries on compatible Windows, macOS, and Linux hardware. Software updates are provided periodically to enhance security and stability.
8. Disclaimer of Warranties
Rixoffice is provided 'as is' and 'as available', without warranty of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that software operations will be uninterrupted, error-free, or compatible with every legacy file format.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Rixcart, its affiliates, directors, or employees be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our aggregate liability arising from these Terms shall not exceed the amounts paid by you to Rixoffice during the twelve (12) months preceding the claim.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through good-faith negotiations before initiating formal legal proceedings.
